BCC and the Client expect the Client to purchase certain professional services (“Services”) from BCC from time to time. In order to facilitate such purchases, the parties to this agreement have agreed to define the general conditions of sale which, together with a specification (“SOW”) for a single order and the other documents described therein, constitute the entire agreement for such an order. Each SOW shall be subject to the provisions of this Agreement, as if it were fully set out in this SOW. 7.1 CREATION. Except for Section 7.3, all software, source and object code, specifications, designs, processes, techniques, concepts, improvements, discoveries, ideas, expression, work, analysis of results, conclusions, opinions, recommendations, know-how, designs, programs, tools, applications, interfaces, extensions, other technical information and inventions, whether patentable, used, created or in connection with the Services (together “Creations”) and all patents, copyrights, trade secrets and other related intellectual property rights are the exclusive and exclusive property of BCC. BCC agrees that it will not sub-use custom software code sequences containing confidential customer information, nor will it provide it to other natural or legal persons or protect such confidential information in accordance with this section. Nothing in this Agreement shall be construed to confer on the Customer, tacitly, by effect of right or otherwise, any license or other right, title or interest in the Creations and/or the intellectual property associated with them, unless a creation is made in connection with the provision of the Services and, in that case, that it be granted exclusively in accordance with this Section. Nothing in this Agreement shall be construed to create an obligation to update or update updates for a creation to Customer or its end users. “Specifications” means the specifications and/or any applicable orders describing the specific services to be provided by Splunk, including all materials and services to be provided by Splunk. 6. MAINTENANCE OF CUSTOM DEVELOPMENT WORK.
The standard maintenance and support services offered by BCC do not cover custom software or new development, including, but not limited to, mini-applications, workflows, automations or macros designed for the customer. Where appropriate, separate maintenance and support work may be purchased for these items.
